Terms and Conditions

These Terms and Conditions apply to services provided by EmberShield Services LLC (“EmberShield,” “we,” “us,” or “our”) to the customer identified on the applicable quote, work order, or invoice (“Customer”). By approving a quote, authorizing work, signing a work order, or allowing EmberShield to begin service, Customer agrees to these Terms and Conditions.

1. Scope of Services

EmberShield will perform only the services specifically listed in the approved quote or work order. Services may include commercial kitchen hood, exhaust duct, exhaust fan, filter, grease-containment, pressure-washing, inspection, maintenance, or related commercial cleaning services.

Unless expressly included in writing, services do not include fire-suppression inspection or certification, electrical work, HVAC repair, structural work, roof repair, equipment replacement, code certification, or correction of pre-existing defects.

2. Quotes and Pricing

Quotes are based on the information and conditions reasonably available at the time of preparation and are valid for 30 days, unless otherwise stated.

Pricing may change if EmberShield discovers conditions not disclosed or reasonably visible during quoting, including:

  • Excessive or hardened grease buildup
  • Additional hoods, fans, ducts, or equipment
  • Inaccessible ductwork or missing access panels
  • Unsafe or restricted roof access
  • Damaged, modified, or improperly installed equipment
  • Unavailable water, electricity, drainage, or workspace
  • A system materially different from photographs or information provided

EmberShield will notify Customer when practical before completing additional billable work. Work outside the approved scope requires Customer authorization.

3. Scheduling and Access

Customer must provide safe, timely, and unrestricted access to the property, kitchen, exhaust system, rooftop equipment, utility connections, and secured areas necessary to perform the service.

Customer is responsible for:

  • Providing accurate access instructions, keys, codes, or an authorized contact
  • Turning off cooking equipment when requested
  • Allowing equipment sufficient time to cool
  • Removing or protecting food, cookware, utensils, inventory, and personal property
  • Informing EmberShield of hazards, damaged equipment, roof conditions, alarms, or special building requirements
  • Obtaining any landlord, property manager, or building authorization required for the work

Delays caused by unavailable access, active cooking equipment, unsafe conditions, or incomplete customer preparation may result in additional charges or rescheduling.

4. Cancellations and Rescheduling

Customer must provide at least 24 hours’ notice to cancel or reschedule service.

Appointments canceled with less than 24 hours’ notice, missed appointments, or locations that cannot be accessed upon arrival may be subject to a cancellation or trip fee of up to 25% of the scheduled service price, or the amount stated on the quote.

EmberShield may suspend or reschedule work due to unsafe conditions, severe weather, equipment failure, inaccessible work areas, or circumstances beyond our reasonable control.

5. Payment Terms

Payment is due according to the terms shown on the quote or invoice. Unless otherwise stated, payment is due upon completion of service.

Customer agrees to pay all approved charges, applicable taxes, fees, and authorized additional work. Deposits may be required for large, recurring, specialty, or restoration projects.

Past-due balances may be subject to a late charge of 1.5% per month or the maximum amount permitted by law, whichever is lower, as well as reasonable collection costs.

Customer may not withhold payment for portions of the work that are not reasonably disputed.

6. Service Conditions and Results

EmberShield will perform services using commercially reasonable care and generally accepted industry practices.

Results may be limited by:

  • Permanent staining or discoloration
  • Corrosion, rust, pitting, or damaged metal
  • Inaccessible areas
  • Missing access panels
  • Defective fans, hinges, wiring, belts, motors, or controls
  • Pre-existing grease beneath or inside inaccessible components
  • Unsafe conditions that prevent complete access
  • Equipment that cannot be safely opened, moved, or operated

Cleaning does not restore damaged equipment to new condition.

7. Compliance and Inspection Disclaimer

EmberShield may provide cleaning records, photographs, service stickers, certificates of service, observations, or maintenance recommendations. These materials document the services performed but do not constitute a government inspection, engineering evaluation, fire-suppression certification, or guarantee that the property complies with every applicable law, code, insurance requirement, or industry standard.

Customer remains responsible for determining required service frequency, maintaining the exhaust and fire-suppression systems, correcting deficiencies, and complying with instructions from fire officials, insurers, landlords, manufacturers, and other authorities.

No cleaning service can eliminate all fire risk or guarantee that a fire, equipment failure, citation, or insurance loss will not occur.

8. Pre-Existing Conditions and Damage

EmberShield is not responsible for damage or failure caused by pre-existing conditions, ordinary wear, corrosion, improper installation, prior repairs, loose components, defective equipment, structural defects, roof conditions, electrical problems, plumbing issues, or customer negligence.

If EmberShield identifies a condition that may create a risk of damage or injury, we may stop work until the condition is corrected.

Customer must report any claim of service-related damage in writing within 48 hours of service and provide EmberShield a reasonable opportunity to inspect and address the issue before arranging third-party repairs.

9. Photos and Documentation

Customer authorizes EmberShield to photograph or record the equipment and work areas for service verification, quality control, estimating, training, insurance, dispute resolution, and customer documentation.

EmberShield will not intentionally publish identifying customer information or images for marketing purposes without permission. Customer may decline marketing use at any time.

10. Recommendations and Repairs

Observations and recommendations provided by EmberShield are based on visible conditions encountered during service and are not a substitute for evaluation by a licensed electrician, HVAC technician, fire-suppression contractor, roofer, engineer, or other qualified professional.

Repairs, replacement parts, access-panel installation, belt replacement, grease-containment service, and other corrective work are included only when specifically listed in the approved scope.

11. Limited Service Warranty

Customer must notify EmberShield of a material concern regarding the completed cleaning within 48 hours. If EmberShield determines that an area included in the approved scope was not reasonably completed, EmberShield’s obligation will be limited to returning to reperform the affected portion of the service.

This limited remedy does not apply to inaccessible areas, permanent staining, equipment defects, newly accumulated grease, or conditions outside the approved scope.

12. Limitation of Liability

To the fullest extent permitted by law, EmberShield will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, business interruption, failed inspections, food loss, or loss of use.

EmberShield’s total liability arising from a service will not exceed the amount Customer paid EmberShield for the specific service giving rise to the claim, except where a different limitation is required by applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded.

13. Customer Indemnification

Customer agrees to be responsible for claims, losses, or expenses arising from Customer’s failure to disclose hazardous or defective conditions, provide safe access, secure required authorization, follow preparation instructions, or maintain the property and equipment, except to the extent directly caused by EmberShield’s negligence or misconduct.

14. Hazardous or Unsafe Conditions

EmberShield may refuse or stop work if technicians encounter unsafe roof access, exposed electrical components, hazardous materials, active fire-suppression hazards, unstable equipment, biological hazards, threatening conduct, or other dangerous conditions.

Customer is responsible for correcting the condition before service resumes. Additional mobilization or return-trip charges may apply.

15. Independent Contractors and Subcontractors

EmberShield may use qualified employees or subcontractors to perform portions of the work. EmberShield remains responsible for managing the services included in the approved scope.

16. Governing Law and Disputes

These Terms will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

The parties agree to first attempt in good faith to resolve disputes informally. If a dispute cannot be resolved, either party may pursue available legal remedies in a court with appropriate jurisdiction in Delaware, unless the parties agree in writing to another dispute-resolution process.

17. Entire Agreement

The approved quote, work order, invoice, service agreement, and these Terms constitute the agreement between EmberShield and Customer regarding the services.

If there is a conflict, the specific written terms of the approved quote or service agreement will control over these general Terms.

Changes must be approved in writing. If any provision is found unenforceable, the remaining provisions will continue in effect.
